Terms of Use

Effective October 4, 2026 · Version 2026-10-04

These Terms of Use (the "Terms") are an agreement between you and Winter Works Software, LLC ("Winter Works," "we," "us," or "our") for your use of the Cassiel app and related web pages (the "App"). By checking the box to accept these Terms or by using the App, you agree to them. If you do not agree, do not use the App. Our Privacy Policy and Consumer Health Data Privacy Policy explain how we handle your information.

1Who may use Cassiel

United States only. The App is offered only to people located in the United States.

Age. You must be at least 13 years old to use the App. If you are under 13, do not use the App or give us any information. If we learn that we have collected information from a child under 13, we will delete it.

Users aged 13 to 17. If you are under 18, a parent or legal guardian must review these Terms and agree to them on your behalf before you use the App. A parent or guardian who agrees is responsible for the minor's use of the App, including any purchases. We may ask a parent or guardian to confirm their agreement.

2The service

Cassiel is a task-management app that uses artificial intelligence ("AI") to help you record, organize, prioritize and plan your tasks and longer-term goals. Features include task lists, reminders, a calendar view, conversational chat, task analysis (for example, suggested dates, effort estimates and priorities), suggestions, and coaching messages. We may add, change or remove features at any time.

3Your account

You can sign in with an email address and password or, where we offer it, with Sign in with Apple or Sign in with Google. You agree to give accurate information, to keep your password and devices secure, and that you are responsible for activity under your account. Each account is for one person. Tell us promptly using the contact information in Section 20 if you believe someone has used your account without permission.

4AI features

4.1 Turning AI features on

AI features stay off until you turn them on in the App's AI Features screen and give the permissions requested there. When AI features are on, the content you put into the App is processed by AI models that we use through Amazon Web Services ("AWS") in the United States. The companies that develop those models do not receive your content, and your content is not used to train AI models. The Privacy Policy describes this in detail. You can turn AI features off at any time, and the App continues to work for task management without them.

Cassiel's chat replies, coaching messages and suggestions are generated by AI. They are not written by a person.

4.2 Limits of AI output

AI-generated content can be inaccurate, incomplete, out of date or unsuitable for your circumstances. Suggested dates, priorities, effort estimates, reminders and coaching are aids to your own judgment, not instructions. Factual statements in AI output may be false, incomplete, misleading or out of date, so check them yourself before relying on them. You are responsible for reviewing AI output and for any action you take based on it. The App does not provide medical, legal, financial, tax, mental-health or other professional advice.

4.3 Requests the App declines

The App may decline requests that fall outside its purpose or that ask for harmful, unlawful or professional-advice content. Changes to your task list that you request in the same message are still applied.

4.4 Ownership of AI output

As between you and us, you own the content the AI generates for you in the App, to the extent the law allows. AI output may not be unique, and other users may receive similar output.

4.5 Changes to AI models

We may change the AI models we use to provide the App. If a change would send your content to a company other than our hosting provider, or change how your content is stored or used, we will update the Privacy Policy and ask for your permission again before AI features continue.

5Not an emergency service

Cassiel is not an emergency or crisis service. If you are in crisis or may harm yourself or others, call or text 988 (the Suicide and Crisis Lifeline) or call 911.

The App may decline to discuss some topics and may show crisis resources instead.

6Subscriptions, free trial and AI usage allowance

6.1 Subscription

Some AI features require a paid subscription ("Cassiel Monthly"). The price is shown in the App and in the App Store before you buy. Payment is charged to your Apple Account when you confirm the purchase or, if you start with a free trial, when the trial ends. If you are under 18, Apple may require a parent or guardian to approve purchases.

6.2 Automatic renewal and cancellation

Your subscription renews automatically each month at the then-current price unless you cancel it at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within the 24 hours before the current period ends. You can manage or cancel your subscription at any time in your Apple Account settings. Cancellation takes effect at the end of the current paid period, and you keep access until then. Turning off AI features or withdrawing the permissions they need does not cancel your subscription. Apple processes purchases, and Apple's policies govern refunds.

6.3 Free trial

New subscribers may be offered a 7-day free trial, available once per account. If you do not cancel at least 24 hours before the trial ends, the subscription begins and you are charged. Any unused portion of a free trial ends when you buy a subscription.

6.4 AI usage allowance

Each subscription period includes an allowance of AI usage. The App shows how much of the allowance you have used as a percentage. Longer conversations and more detailed answers use more of the allowance. When the allowance runs out, AI features pause until it renews in full on your next billing date; non-AI features keep working. Unused allowance does not carry over. A free trial includes a share of a monthly allowance proportional to its length. If we reduce the allowance in a way that materially affects you, we will tell you in the App in advance, and the change will apply from your next billing period.

6.5 Features without a subscription

We may offer some features, including limited AI features, without a subscription, and we may change or withdraw them at any time.

7Acceptable use and enforcement

You agree not to:

How we enforce these rules. If we believe you have violated these Terms, including through abusive behavior, we may warn you, limit or turn off AI features, suspend your account, or permanently ban you from the App, and we may refuse to let you create a new account. A suspension or ban does not cancel your subscription; cancel through your Apple Account settings.

8Your content

You own the content you put into the App. You give us a limited, non-exclusive license to store, copy, process and display your content only as needed to operate and provide the App to you, including AI processing as described in Section 4 and safety review as described in Section 7 and the Privacy Policy. This license ends when your content is deleted, except for the limited records described in the Privacy Policy. If you send us suggestions or feedback about the App, we may use them without obligation to you.

9License to use the App

Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use. Winter Works and its licensors own the App and all rights in it, other than your content.

10Third-party terms

When you use the App, you must also comply with any third-party terms that apply to you, including the Apple Media Services Terms and Conditions, the terms of your wireless carrier or internet provider, and, if you use them, the terms of Sign in with Apple or Sign in with Google.

11Privacy

Our Privacy Policy explains what information we collect, how we use it and your choices. Our Consumer Health Data Privacy Policy explains how we handle health-related information.

12Disclaimer of warranties

The App is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the App will be uninterrupted, error-free or secure, that reminders or notifications will be delivered on time or at all, or that AI output will be accurate or reliable.

13Limitation of liability

To the maximum extent permitted by law, Winter Works and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of data, profits, revenue or goodwill, arising out of or related to your use of or inability to use the App. Our total liability for all claims relating to the App will not exceed the greater of the amount you paid for the App in the 12 months before the claim arose or one hundred U.S. dollars ($100).

Nothing in these Terms limits our liability for fraud, gross negligence or willful misconduct, or any liability that cannot be limited under applicable law. New Jersey residents: Sections 12, 13 and 14 apply to you only to the extent permitted by New Jersey law, and nothing in these Terms limits any right you have under the New Jersey Consumer Fraud Act or other New Jersey consumer protection law.

14Indemnity

To the extent permitted by law, you agree to indemnify Winter Works against third-party claims, losses and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the App.

15Apple App Store terms

If you obtained the App from the Apple App Store, the following also applies:

16Termination

You may stop using the App and delete your account at any time. We may suspend or end your access as described in Section 7, if required by law, or if we discontinue the App. Where reasonable, we will give you notice and an opportunity to export your data. Sections 8 (as to the end of the license), 12, 13, 14, 17 and 19 survive termination.

17Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules, except where the consumer protection laws of the state where you live give you rights that cannot be waived. Any dispute arising from these Terms or the App will be brought exclusively in the state or federal courts located in New Jersey, and you and we consent to their jurisdiction, except that either party may bring an individual claim in small-claims court where it qualifies.

18Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a new effective date. If a change materially reduces your rights or increases your obligations, we will tell you in the App at least 30 days before it takes effect, unless the change is required by law or needed to address a safety or security issue. If a change affects how your content is processed by AI, we will ask for your permission again before AI features continue. If you keep using the App after a change takes effect, the updated Terms apply.

19General

These Terms, together with the policies they link to, are the entire agreement between you and us about the App and replace any earlier version. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
